Three Interlocking Themes
StructuringThe course begins with the basics of securitisation, running through structuring rules and the principles of credit enhancement, as well as a high-level assessment of securitisation as a corporate strategy. The advanced elements of this thread involve a detailed examination of different asset classes, and the requirements of structuring a successful program.
Modelling
So as to establish a common ground, as well as to introduce standard conventions for creating spreadsheet models, this sequence starts with basic finance?the IRR of a bond. It then moves on to the intricacies of modelling collateral,
especially prepayment models and average life, before returning to the evaluation of prepayable securities from the perspectives of both issuer and investor.
Microstructure
The microstructure component is concerned with the nuts and bolts of how a deal works, from the perspective of a program manager required to administer and audit a securitisation program. Topics include principal-and-interest
cascades, allocation and restoration of losses, turbos, liquidity draws, collection mechanics, and deferred-purchase-price accounting for securitising trade receivables.
Project Chatterbox
Project Chatterbox is an extended practical, bringing together all three course elements. You will create a program to securitise payments due to a mobile phone operator in respect of customers' handsets. The exercise requires you to understand the complete suite of documents, draft key cash-flow provisions, produce the program manager's monthly certificate, and sell the bonds.
